Emlak24 Individual User Terms of Service and Comprehensive Agreement

1. Acceptance of the Agreement and Changes
1.1. Acceptance: By accessing the Emlak24 platform (website, mobile application, and related digital services) or by creating an account, you are deemed to have accepted these Comprehensive Terms of Service ("Agreement") with Emlak24 ("Platform", "We", or "Company"), with its registered office in Cologne, Germany. If you do not accept these terms, you must not use the platform.
1.2. Changes: Emlak24 reserves the right to update this Agreement, the Privacy Policy, and the platform rules unilaterally without prior notice. Changes take effect as soon as they are published on the platform. Continued use of the platform by users means acceptance of the updated terms.
2. User Accounts and Security
2.1. Creating an account: You must register to use the platform in full. You are obliged to provide accurate, up-to-date, and complete information when registering.
2.2. Account security: Keeping your password and account details confidential is entirely your responsibility. Emlak24 cannot be held liable for any activity under your account, including unauthorized access. You must report any suspicious activity immediately to info@emlak24.com.
3. Scope of Services and Subscription Models
3.1. Description of services: Emlak24 is an intermediary service provider within the meaning of the German Telemedia Act (TMG). It provides AI-supported investment analyses, property valuation tools (Endeksa integration), and connects buyers with approved real estate agents.
3.2. Subscription tiers: Emlak24 uses a freemium model:
- Free (Explorer): Limited search and one preview per day. Critical data (e.g. amortization) is hidden using Gaussian blur (masking).
- Opportunity Hunter (Hunter): €19 per year. Ten expert valuations per month, instant push notifications, and access to the Opportunity Corner.
- Pro Investor (VIP): €29 per year. Unlimited Endeksa data, AI investment score (parameters Vr, Yr, Ga, Lq, Pd, Dq), and VIP investment guidance.
3.3. Exception to the right of withdrawal: Under German law (BGB § 356) and the EU Digital Content Directive, once digital services and data analysis tools are performed immediately (when data is displayed), the user is deemed to have waived the statutory right of withdrawal and no refund will be made.
4. Platform Content and User-Generated Content (UGC)
4.1. Limited license: Emlak24 grants the user a revocable, non-transferable, non-exclusive license to use the platform for personal, non-commercial purposes.
4.2. User content: Ownership of listings, comments, or messages uploaded by users remains with the user; however, the user grants Emlak24 a worldwide, royalty-free, sublicensable right to use such content for marketing, analytics, and platform development.
4.3. Prohibited content: Uploading misleading pricing, fake property listings, incomplete block/parcel data, unlawful content, or hate speech is strictly prohibited. Emlak24 may delete such content immediately and suspend the account.
5. Disclaimers and Limitation of Liability
5.1. "As is" provision: The platform and all data on it are provided "as is" and "as available". Emlak24 does not guarantee uninterrupted access, error-free APIs (including Endeksa), or absolute cybersecurity.
5.2. Not financial advice: Emlak24's "Investment Opportunity Score (AI)", amortization periods, and rent projections are only estimated mathematical analyses. They do not constitute financial or legal advice. The user bears all profit and loss risk from investments entirely on their own.
5.3. Limit of liability: Except in cases of intent or gross negligence under the German Civil Code (BGB), Emlak24's liability for indirect, incidental, special, or punitive damages (including loss of profit or data) arising from use of the platform is limited to the total service fees paid by the user to Emlak24 in the last 12 months.
6. Indemnification
The user agrees to indemnify Emlak24, its directors, employees, and business partners in cash and in full upon first demand for any damage, administrative fines, and legal fees they may suffer due to the user's use of the platform in breach of this Agreement, infringement of third parties' intellectual property or privacy rights, or uploading false data to the system.
7. Personal Data and Privacy (GDPR / DSGVO)
7.1. Data processing: User data is processed for the platform's core mission of "matching the right investor with the right expert". When a user shows interest in a property or requests consultation, their data is transferred via CRM to the relevant real estate agent or contractor partners.
7.2. Tracking: In-platform browsing habits are analysed anonymously using Firebase, Google Analytics, and other MarTech tools.
8. Force Majeure
Emlak24 cannot be held liable for disruption of services due to circumstances beyond its reasonable control, such as natural disasters, war, terrorism, cyberattacks, server failures, telecommunications outages, or cessation of services by API providers (including Endeksa).
9. Applicable Law, Severability, and Dispute Resolution
9.1. Applicable law: This Agreement is governed by German law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
9.2. Jurisdiction: For all disputes, the courts of Cologne, Germany (Amtsgericht Köln / Landgericht Köln) have exclusive jurisdiction.
9.3. Severability: If any provision of this Agreement is found invalid or unenforceable, that provision shall be interpreted to the closest valid legal meaning and the remaining provisions shall continue in full force and effect.
